Competition Terms and Conditions

These are the terms and conditions (“Rules”) that apply to the Grail Watch Design Competition (“Competition”). By entering the Competition, each participant agrees to these Rules and confirms they have read and understood the Revolution Media Pte Ltd. Privacy Notice at https://revolutionwatch.com/privacy-policy/.
In particular, please see the “Publicity” section, which explains the publicity rights that you grant to us, and the “Liability” section, which explains how we limit our liability to you.
1.
Promoter
: Revolution Media Pte. Ltd, a company incorporated and registered in Singapore with registered company number 201329562H and registered office address at Jalan Kilang, #04-01, The Mill, Singapore 159405 (“Promoter”).
2.
Entry period:
The Competition opens for entry at 11:00 central European time on 22 October 2024 and closes at 23:59 central European time on 31 December 2024 (“Entry Period”).
3.
Eligibility:
To participate in the Competition, participants must be of legal age in their jurisdiction of residence, which shall be defined as the age of majority or eighteen (18) years old, whichever is greater, at the time of entry and must be able to travel to Dubai for the Pitch Stage, if applicable (as detailed below). A limit of one (1) entry per person or group applies to the Competition. In the case of a group submission, only two (2) representatives will be flown out to Dubai for in-person presentations described in Section 6. The Competition is open to both amateur and professional watchmakers. If a participant is a professional watchmaker, the participant must have written consent from their employer to participate in the Competition and must enter in their personal capacity and on their own behalf (not as part of their employment and not on behalf of their employer or any third party) unless the Promoter expressly agrees otherwise. Promoter reserves the right at any time to require proof of eligibility in such form as Promoter reasonably considers necessary.
Not eligible:
Even if they meet the above criteria, the following persons are not eligible to enter the Competition: (i) any employee or other individual engaged by Promoter or any of its associated companies; (ii) members of the immediate family and/or household (whether related or not) of any of those individuals; and (iii) anyone else professionally involved or associated with the operation, promotion or administration of the Competition. Where permissible, the Promoter reserves the right, at its sole discretion, to deny any participant entry into the Competition or to remove any participant from the Competition at any time, with or without cause.
4.
How the Competition works:
There are two (2) stages in this Competition:
a.
Qualifying Stage:
The first stage is a qualifying stage, during which eligible participants apply online for one of up to three (3) places to progress to the Pitch Stage.
b.
Pitch Stage:
The second stage is the Pitch Stage, where successful participants from the Qualifying Stage will be invited to Dubai as finalists to pitch their business plan in person to the judging panel and to compete for the Prize.
5.
Participation in the Qualifying Stage
a.
How to enter:
To enter the Qualifying Stage, eligible participants must submit to the Competition portal GrailWatch.com: (i) a sketch or render of your watch design; (ii) a self-recorded video explaining your vision for the brand; (iii) a business plan for the watch design; and (iv) any other support materials (e.g. moodboards, design journals, etc).
b.
Video requirements:
The video must be no more than 5 minutes in duration explaining the concept for the design and the brand.
c.
Business plan requirements:
Participants will be required to submit a business plan at the second stage of the competition. Each business plan submitted by a participant must detail the commercial viability and manufacturing and production feasibility of the watch design.
d.
Submission Guidelines:
The participant must comply with, and must ensure that their entry (“Submission”) complies with, the following guidelines (“Submission Guidelines”):
i. Each Submission must be the participant’s own original work. By providing a Submission, each participant warrants and represents (i.e. guarantees) that all elements of the Submission are his or her own original work, that all elements of the Submission were not created by the participant in the course of their employment, and the use of the Submission for the purposes described in these Rules will not infringe the intellectual property rights (or any other rights) of any person or organisation. The participant hereby agrees to indemnify the Promoter for any losses suffered by the Promoter as a result of a claim made against the Promoter in breach of these warranties.
ii. Video recordings may include background sound and/or voiceover, but must not feature a soundtrack or any other recorded music.
iii. Submissions must not include third-party branding or logos.
iv. If the Submission features an identifiable person, that person must be over 18 years old and must have given their written consent to be featured in the Submission. The participant must provide a copy of any written consent if requested by Promoter.
v. Submissions must not include any confidential information or personal information concerning any person without the written consent of that person. The participant must provide a copy of any written consent if requested by Promoter.
vi. Submissions must not be, or contain any material which is or may reasonably be considered to be, threatening, defamatory, obscene, indecent, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, inflammatory, in breach of confidence or otherwise unlawful.
vii. Any digital file uploaded or otherwise supplied to Promoter must not include or contain any code of a malicious, destructive or disruptive nature (including malware or spyware).
viii. By entering the Competition, the participant warrants and represents (i.e. guarantees) that he or she has the right and authority to travel to Dubai if chosen to compete in the Pitch Stage, accept the Prize and enter into the Finalist’s Agreement and that by doing so he or she will not be in breach of any agreement with or obligation to a third party or any applicable law.
ix. By entering the Competition, the participant warrants and represents (i.e. guarantees) that he or she has not done anything or made any public statement (oral or in writing) that could reasonably be regarded as derogatory or disparaging of Promoter or its products or services.
x. By entering the Competition, the participant warrants and represents (i.e. guarantees) that he or she knows of no information, facts or circumstances related in any way to the participant that could reasonably be considered damaging or embarrassing to Promoter by virtue of the association between Promoter and the participant arising from entry into the Competition.
e.
Judging process:
All submissions will be assessed by a panel of experts that will include at least one (1) independent judge. The judging panel will select up to three (3) successful participants to progress to the Pitch Stage, based on an assessment of: (i) creativity of design; (ii) brand story; (iii) clearly defined inspiration and references; (iv) commercial feasibility; (v) ease of use and implementation; (vi) viability of the product; (vii) 5 – 10 year product roadmap; and (viii) marketing and communications ideas. The production quality of the video will not influence the judging process and will not be scored. The decisions of the judges are final.
f.
Participant selection:
The successful participants progressing to the Pitch Stage will be the highest-scoring participants, based on the above judging criteria.
g.
Notification:
All successful participants will be notified by email no more than four (4) weeks after the end of the Entry Period. Promoter will make reasonable efforts to contact the successful participants, but it is each individual’s responsibility to monitor their email account (including any junk mail folders) for receipt of the notification.
6.
Participation in the Pitch Stage
a.
Location and timing:
The Pitch Stage will be held at a venue in Dubai after confirmation of contact with the finalists. The precise location and timings for the Pitch Stage will be notified to successful participants in the email notification following the Qualifying Stage.
b.
Judging process:
Participants will be judged by a panel of experts that will include at least one (1) independent judge. The judging panel will select one (1) winner, based on: (i) creativity of design; (ii) brand story; (iii) clearly defined inspiration and references; (iv) commercial feasibility; (v) ease of use and implementation; (vi) viability of the product; (vii) 5 – 10 year product roadmap; and (viii) marketing and communications ideas.
c.
Winner selection and ties:
The Pitch Stage winner will be the highest-scoring participant, based on the above judging criteria. The decisions of the judges are final.
d.
Notification:
The winner of the Pitch Stage will be announced and notified to the winner via email within four (4) weeks of the end of the Pitch Stage.
e.
Finalist Agreement:
As a condition of entering the Competition and being put through to the Pitch Stage, participants must enter into a Finalist’s Agreement. The Finalist’s Agreement will require the participants to: (i) assign all intellectual property rights in their Submission to the Promoter; (ii) waive all moral rights in their Submission, to the maximum extent permitted by applicable laws; (iii) confirm they warrant and represent (i.e. guarantee) that the Submission is their original work and was not created in the course of the participant’s employment; and (iv) confirm they warrant and represent (i.e. guarantee) that the Submission does not infringe the intellectual property rights of any third party (including, but not limited to, the participant’s employer).
f.
Publicity:
Each participant acknowledges that the Pitch Stage will be photographed and filmed and that photographs, video footage and other material featuring and/or referring to the participants, their likeness, voice and performance may be used as described in the “Publicity Rights” section below.
7.
Travel arrangements and costs of attending the Pitch Stage
a. Participants are solely responsible for ensuring that they are able to attend the Pitch Stage on the relevant dates, including having valid passports and any visas required. No alternative dates are available.
b. Promoter will be responsible for arranging at its own cost each participant’s travel to and from the Pitch Stage, to include economy air or overland transport (as applicable) and overnight accommodation (one (1) night. All bookings must be made by Promoter and any transport and accommodation choices shall be strictly at the discretion of Promoter. Promoter shall not be responsible for any costs where the participant makes their own travel, accommodation or other arrangements. Participants will be asked for a credit card on check in at the hotel to cover any extras, so they must be able to provide one and cover these costs.
c. This Competition is time sensitive and therefore if a participant fails to provide, within 14 days of Promoter’s request, sufficient details enabling Promoter to make the relevant bookings for attendance at the Pitch Stage, Promoter reserves the right to disqualify the participant from the Pitch Stage.
d. Participants are solely responsible for all arrangements and all associated costs and expenses arising from participation in the Competition that are not expressly set out above, including: (i) any additional transportation; (ii) any additional food and beverages; (iii) any additional accommodation; (iv) travel and medical insurance, visas and any other required travel documents; (v) any required COVID-19 related testing, passes, certificates or quarantining; (vi) any discretionary spending; (vii) hotel minibar, laundry and room service; (viii) tips and gratuities; and (ix) any related taxes.
e. Participants will be subject to, and must comply at all times with, any terms and conditions imposed by any relevant airline, hotel or other organisation connected to this Competition. The winners must review and comply with these terms and conditions in order to participate.
f. Promoter will have no liability to the participant if the participant is unable to attend the Pitch Stage, or is denied entry to, or is asked to leave, any venue or event as a result of a failure to abide by these Rules, any applicable venue or event terms and/or any applicable law, or as a result of inappropriate behaviour.
8.
Prizes:
The prize is a cash sum of 10,000 Singapore Dollars (“SGD”), which will be paid by bank transfer to a bank account (in the winner’s own name) within 30 days of Promoter’s receipt of a valid prize claim. In addition to the cash sum, the Promoter will have the winning watch design made into physical units for commercial sale and will give the winning entrant one of the watches (“Prize”). If the winning watch design was made by more than one person, they shall share the cash sum and draw lots to determine which of them shall receive the watch. The Promoter reserves the right to make whatever changes it considers necessary or appropriate to make the winning design commercially viable in its sole discretion.
The winner will be solely responsible for the payment of any taxes (included withholding tax) applicable to the Prize.
9.
Prize claims:
The winner must claim their Prize by providing any information requested by Promoter within 30 days of the request, which will include details of the bank account into which the cash sum Prize should be transferred. The winner will be solely responsible for providing the correct information to Promoter and should therefore check all information provided carefully. If amendments are required as a result of a winner’s error, the winner is responsible for any administrative costs incurred and Promoter is not responsible for errors made by the winner.
10.
Publicity and use of Submissions:
a. Each participant acknowledges that photographs and live video will be captured by or on behalf of Promoter at the Pitch Stage (“Event Content”) and that such Event Content may feature the participant’s individual participation. All rights in and to any Event Content shall belong to Promoter.
b. In consideration of the opportunity to participate in the Competition, each participant grants to Promoter and its group companies, affiliates, agents and designees (and each of their successors and assigns) (collectively, the “Licensed Parties”) the right to use, and sub-license other to use: (i) the participant’s name and any relevant biographical information; (ii) the participant’s Submission (including any video submitted as part of the submission); and (iii) (if participant makes it to the Pitch Stage) Event Content featuring the participant’s image, likeness, voice, statements and performance (“Contribution”), for advertising, marketing, promotional, public relations and any other lawful purposes relating to the Competition, in any and all media worldwide, for a period unlimited in time and without further approval, consent or payment.
c. Each participant agrees that their Contribution may be combined with text, music, sound, graphics and other content, and cut, altered, modified, cropped, edited or dubbed into another language without notice.
d. Each participant irrevocably and unconditionally waives (and agrees not to assert or enforce), in favour of the Licensed Parties, all moral rights, performers’ rights and similar rights they may have in relation to their Contribution and their Submission or otherwise, arising under the laws of any applicable jurisdiction.
e. For the avoidance of doubt, each participant agrees that, in the event of a win, Promoter shall be entitled (but not obliged) to announce the winner’s name, prize and details of their design on Promoter’s websites, social media and other channels.
f. The participant may also be asked (without further obligation or reward) to take part in reasonable publicity connected with the Competition.
11.
Liability:
To the fullest extent permissible by law, the Promoter excludes all liability for any loss or damage of any kind arising from the Competition and any person’s participation in it. However, nothing in these Rules limits or excludes any person’s liability for: (i) death or personal injury caused by negligence; (ii) fraud; or (iii) any matter for which it would be unlawful to limit or exclude liability. Where it is not possible to exclude liability under applicable law, the Promoter’s maximum liability for any claims shall in total be limited to an amount of SGD 150.
12.
Forfeiture and substitution:
Promoter reserves the right to disqualify the winner and select an alternative winner if the winner fails to claim the Prize or fails to provide any information or documentation requested by Promoter by the claim deadline, or if Promoter has reason to believe that the winner does not meet the eligibility requirements or has otherwise breached these Rules. The alternative winner will be selected using the original selection process and must claim the Prize within thirty (30) days of the date of the win notification.
13.
No endorsement:
The Competition is in no way sponsored, endorsed, administered by or associated with any social media platforms. All third-party trademarks and other intellectual property rights are hereby acknowledged. By participating in the Competition, participants are providing their information to Promoter, not to any social media platforms. To the maximum extent permitted by applicable law, no third party shall have any liability to any participant in connection with or arising out of the Competition howsoever caused, including for any costs, expenses, damages and other liabilities.
14.
Cancellation and variation:
Promoter reserves the right to vary, suspend or cancel the Competition and/or these Rules if it considers it necessary or appropriate to do so at any stage, including if there is any actual or anticipated breach of applicable law or if variation, suspension or cancellation is necessary due to an event outside Promoter’s reasonable control. In the event of cancellation, the Prize may be awarded to a winner drawn from entries received prior to cancellation.
15.
Disqualification:
Without limiting the options available to Promoter, Promoter reserves the right at any time to disqualify entries or participants that Promoter regards as being in breach of these Rules, any applicable laws, any terms and conditions referred to in these Rules or the spirit of the Competition.
16.
Interference with the Competition:
Any attempt to deliberately damage or undermine the content or legitimate operation of the Campaign is prohibited and may be a violation of criminal and/or civil laws and in these circumstances the Promoter reserves all of its rights and remedies.
17.
Disclosure of winner’s details:
By entering the Competition, each participant acknowledges that in the event of a win their surname and general location of residence (e.g. city, county, region or country) may be disclosed to persons enquiring, where permitted by law. Any participant may object to their information being made available in this way or may request that the amount of information made available be reduced, by contacting Promoter using the contact details at the end of these Rules. In these circumstances, the participant acknowledges that Promoter may nevertheless disclose the relevant information, and the participant’s entry, to the relevant advertising standards authority or regulator (and/or any other competent authority) if required to do so. This may happen where Promoter is required to demonstrate that it has awarded the prizes advertised. To request disclosure of winner details, enquirers must submit a request to competition@grailwatch.com no later than one (1) month after the end of the Pitch Stage. Details will only be disclosed (if permitted by law) after all prizes have been awarded.
18.
Accessing these Rules:
Access to these Rules and entering the Competition from territories where the content of these Rules and entry into the Competition are illegal is strictly prohibited.
19.
Severance and waiver:
If any part of these Rules is or becomes invalid, illegal or unenforceable, the validity, legality and enforceability of the rest of these Rules will not be affected. Promoter’s failure to enforce any term of these Rules will not constitute a waiver of that provision.
20.
Disputes/Governing law:
Subject to a participant’s right to bring legal proceedings against the Promoter, if there is a dispute about the Competition or these Rules, Promoter’s decisions are final. If there is a dispute between these Rules and any other document referred to in these Rules, these Rules take precedence to the extent necessary to resolve the conflict. This Competition (including its Rules) and disputes arising in relation to it will be governed by the laws of the United Arab Emirates (as applied and interpreted in the Emirate of Dubai), and subject to the exclusive jurisdiction of the courts of Dubai.
21.
Personal data:
Participants acknowledge that any personal data of participants processed in connection with the Competition will be processed in accordance with Promoter’s Privacy Notice, which is available at https://revolutionwatch.com/privacy-policy/. Participants acknowledge that Promoter will need to share personal data with relevant airlines and hotels and that such third parties will process the personal data of the participant as independent data controllers in accordance with their own privacy notices.
